Going from $260 to $200 is a tough pill to swallow. At series A, I'd usually look to negotiate a percentage of ownership, probably around 1-2% for a VP or SVP with a solid track record. Even if she's not ultra experienced, she could maybe get 0.5%-1% or something. If they absolutely REFUSE to tell her the total shares, I'd say it's a pretty big red flag, but if she needs the job, she could try to negotiate at least as much equity as her base --so $200 instead of $100--and they'll probably come back somewhere in-between.  Overall, I think it's a meh offer because, y'know, it's a better title but low cash comp. Here's what I'd recommend: - Keep pushing to at least 225 base (market average) - Propose 10% sign-on bonus to close the salary gap - Propose a role review in 9 months with some sort of increase structure  - Shoot for 0.5%-1% of equity. Otherwise, get them up to $200k.
