Ok. I graduated from UT law school. My corporations law professor taught that corporations only have limited liability bc they promised to (1) be fair to employees (2) protect the environment (3) make products with integrity. That’s employment law, products liability & comminity responsibility. If they fail the. Corporate veil is vulnerable. That means a lawsuit could name Shareholders too. This is legislative history. My corporate law professor advocated that we do something about this. Well? Are we going to put the USSCT in prison for graft and enforce the law in civil court?

Yes!!!! Corporations are creatures of the state and they used to be restricted in their powers and areas of business precisely because of the power granted to them. After all, the original bargain was unlimited life/limited liability in exchange for providing a public benefit (goods, etc.). Back in the day, they even had capitalization and duration limits!

I love this… but what about corp workarounds? Like could a state do this truly comprehensively, not allowing corps to ie. route money through other LLCs, NPOs, PACs, super PACs, individual wealthy ppl, etc?

Problem is, if blue states stop it and red states dont, we die to facism. If the other way around, we have to provide Healthcare to everyone.. two equally horrible outcomes.

It’s a great idea, but every state starts off will lose their corporate backing and therefore I can’t remember what state and what number Montana is in the hierarchy of GDP percentage of the United States but it’s pretty low and they probably need those corporations to keep people in business. This is the this is the latch key that keeps the door closed on progressive change.
