And what if you want to sell one of the subsidiaries? if all IP sits with the holding company you wont be able sell the subsidiaries. nobody would want them. also borrowing against the subsidiaries becomes a challenge and venture capitalists or lenders would like a pcs of the holding company & not the subsidiaries. this set up would work if you do not have exit plan for the subsidiaries. I personally would put IP with the subsidiaries, pay dividents to holding company, invest dividents back to subsidiaries when appropriate (all tax free) and sell subsidiaries as part of the exit plan and benefit from the lower tax on sale. Ofcourse, this would only work if exit strategy exists. if not then IP with holding company could be an option for some.
