Actually, without the structure discussed in the video, I think the tax hit to the Seller would be $4.2MM (assuming the Seller’s basis is the $5.0MM discussed in the video).

that is so misleading they definitely have to pay taxes. It’s just drawn out however long they have to pay taxes on what they’re receiving, but usually they can use expenses immediately to offset the taxes, but that’s not a case of not having to pay taxes that I is bad Info. I really like pace, but that can be super confusing if it’s not explained.
