2) LBO Thames Water
3) infrastructure assets of Thames Water sold off in sevice zones around London (some to shell Co's of XYZ)
4) surviving/remaining Thames Water holds all the debt from the LBO, files bankruptcy, is nationalized
5) XYZ has ownership stake in all the various zones of service
