Actually, Gates said no to IBM initially. He pointed them to the Gary Kimball, the creator of CP/M, the closest thing the industry had to a standard OS at the time. Gary Kimball blew IBM off. Gates wasn’t one to pass on an opportunity twice, so he said he’d create PC-DOS. And he jump started that effort by buying Quick-and-Dirty DOS.

IBM went to Microsoft to buy a license for MS Basic but walked out with a license for MS DOS (which Microsoft didn't have yet). The non-exclusive deal for DOS was because IBM had just evaded US government from trying to break IBM apart for being too monopolistic.

Part of Seattle Computer Product's contract was the computer shop had a right to install Microsoft DOS on all of the PCs he sold. Gates didn’t think a little Seattle computer shop selling PCs with free MS DOS was going to put much of a dent in his profits. However MSFT lawyers didn’t put in anything in saying the agreement was non-transferable. Seattle Computer Products let Microsoft know he was going to sell its computer business to one of the big boys like COMPAQ or Dell for several million dollars. By acquiring the company, COMPAQ would be able to sell its PCs considerably cheaper and it would be a huge advantage. It went to trial and Seattle Computer Products got a hefty settlement.
