Another excellent explanation! This is similar to challenges to parent companies under UK health & safety law where the companies are arguing the failing is entirely the subsidiaries fault and that they therefore have no liability. In some cases it has been successfully argued that the parent company's duty of care and liability does extend to the subsidiary's actions.
