The reason for this split is a little different: ABG is a licensing business. It, for the most part, has no means of production. This matters because the balance sheet is completely different to a brand that makes things. It raises money more like a REIT, with long-term highly predictable return on capital which is very attractive to PE and private credit markets.

Why does the operations buyer take on very high amounts of risk? Its alrdy hard enough to make a strong business profitable. A struggling business would be 100 times harder.
