@sahonlegal: You paid a developer to build your app. But can your company prove that it owns the code? That is where many founders get into trouble. Under Nigerian copyright law, you should not assume that paying someone to develop software automatically transfers the copyright to your startup. If the developer created the code and there is no properly documented IP assignment transferring the relevant rights into the company, you may have a serious ownership problem. And a confidentiality clause solves a different problem. IP Assignment = Who owns what was created. Confidentiality = What the developer is prohibited from disclosing or misusing. You need to deal with both. Because one of the worst times to discover an IP ownership problem is when an investor or buyer is already conducting due diligence. You built the business. Make sure the company legally owns the technology behind it. U didn't buy my brain, U only paid for the output which is been powered by my brain. if you want all properties you have to buy off the source code which represents my brain. simple see it as You want to build a house. you need to pay the architect for drawing, you need to pay a builder to build what was draw, and U need to pay for what makes up the building which are the materials needed.
