@ryanbakkecpa: The tax on selling your business isn't calculated on the sale price. Waiting until the year is over to think about it is what guarantees you overpay.
Basis doesn’t always help in the year of sale. If it’s an asset sale with little allocation to Goodwill, the seller could have recapture taxed at higher rates and than a capital loss for any leftover stock basis which they can only take $3k/year.
