The explanation is simple, the SEC changed the rules, we no longer count limited partners in a VC fund as an individual investors. In the past, you couldn’t raise as many rounds of financing and go to a Series H round. You would’ve had too many investors and you would’ve been forced to go public. Under today’s rules, a single VC fund that might have 1,000 LP investors is counted as 1 investor.
