So they basically sold/offloaded products to a company to reduce liability risks?

just showing large companies know exactly how to shield themselves to prevent liability. Butv would vicarious liability apply to parent company? There would be no reasonable or prudent precedence that would show that could be done in good faith imo.

EthanSargent415 :
I don’t think a carve-out is inherently problematic, but I would question whether it actually caps L’Oréal’s exposure. The key issue for me is whether the transferred entity has sufficient funding and insurance to meet existing and future claims, and whether claimants retain enforceable rights against the responsible companies. Continuing the business under a new brand would not, by itself, erase responsibility for earlier products. I’d also distinguish transferring the financial burden of litigation from obtaining a legal release. Even if management relied on outside consultants, that would not automatically defeat product-liability claims. I’d want to understand the funding and release mechanisms before concluding that the transaction resolves the long-term risk.
